1. Agreement to Terms

By accessing or using services provided by Growthagents.ai, a JCLG Holdings brand (“Company,” “we,” “us,” “our”), including GrowthAgents.ai, Vellura.ai, WhiteShadows.ai, and SmartLeads.ai (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you (“User,” “you,” “your”) and Growthagents.ai, a JCLG Holdings brand

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• Not be prohibited from using the Services under applicable law
• If using on behalf of an organization, have authority to bind that organization to these Terms

3. Description of Services

GrowthAgents provides AI-powered marketing automation services for professional services firms, including but not limited to:

• AI Content Generation: Automated creation of blog posts, articles, and marketing content
• Social Media Automation: Scheduled posting to connected platforms (LinkedIn, Facebook, etc.)
• SEO Services: Keyword research, content optimization, and ranking analysis
• Lead Intelligence: Prospecting tools and lead enrichment data
• WordPress Integration: Automated publishing to WordPress websites

Specific features and limitations vary by subscription plan and service tier.

4. Account Registration and Security

4.1 Account Creation

To access our Services, you must create an account providing accurate, complete, and current information. You agree to update your information to maintain accuracy.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We are not liable for losses arising from unauthorized use of your account.

5. Acceptable Use Policy

You agree NOT to use our Services to:

• Violate any applicable law, regulation, or professional ethics rules
• Generate false, misleading, or defamatory content
• Infringe upon intellectual property rights of others
• Create content that impersonates another person or entity
• Distribute spam, malware, or harmful content
• Circumvent technical limitations or security measures
• Attempt to access accounts or data belonging to others
• Resell or redistribute the Services without authorization
• Generate content for illegal activities or prohibited industries

Violation of this policy may result in immediate account termination without refund.

6. Professional Services Compliance

Our Services are designed for professional services firms including law firms, accounting firms, and medical practices. You acknowledge and agree that:

• You are solely responsible for ensuring content complies with applicable professional ethics rules
• AI-generated content should be reviewed before publication to verify accuracy
• Legal content does not constitute legal advice and must include appropriate disclaimers
• Medical content must comply with HIPAA and is not intended as medical advice
• You will not use our Services in ways that violate attorney-client privilege or patient confidentiality

We provide compliance checking features as a tool, but final compliance responsibility rests with you.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services, including all software, algorithms, designs, trademarks, and documentation, are owned by Growthagents.ai, a JCLG Holdings brand and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Services during your subscription.

7.2 Your Content

You retain ownership of content you input into our Services (“Input Content”). By using our Services, you grant us a limited license to process your Input Content solely to provide the Services.

7.3 Generated Content Ownership

Content generated by our AI services (“Output Content”) is assigned to you upon creation, subject to the following:

• You own the Output Content and may use it for any lawful purpose
• We retain no ownership claims to content generated for you
• Similar content may be generated for other users due to AI training
• You are responsible for ensuring Output Content does not infringe third-party rights

8. Third-Party Services and Integrations

Our Services integrate with third-party platforms including:

• LinkedIn, Facebook/Meta, Google Business Profile for social media posting
• WordPress for content publishing
• Stripe for payment processing
• AWS for hosting and infrastructure
• Anthropic (Claude), OpenAI (DALL-E), Perplexity for AI capabilities

Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for third-party service availability, changes, or data handling practices.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of AI-generated content
• Warranties that the Services will meet your specific requirements

AI-generated content may contain errors, inaccuracies, or outdated information. You are solely responsible for reviewing and verifying all content before publication.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• GrowthAgents shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for damages arising from your use or inability to use the Services
• We are not liable for content published through connected third-party platforms

Some jurisdictions do not allow limitation of certain damages, so some limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Growthagents.ai, a JCLG Holdings brand, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Content you publish using our Services
• Your violation of any third-party rights
• Your violation of applicable laws or professional ethics rules

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@growthagents.ai to attempt informal resolution for at least 30 days.

12.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in Los Angeles, California under the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis only and waive any right to participate in class action lawsuits or class-wide arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. You consent to the exclusive jurisdiction of state and federal courts located in Los Angeles County, California.

14. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Services will be revoked immediately
• You remain responsible for any outstanding fees
• Provisions that should survive termination (including IP rights, disclaimers, limitations of liability) will remain in effect

We may terminate or suspend your account immediately for violation of these Terms.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or prominent notice at least 30 days before taking effect. Continued use of Services after changes constitutes acceptance of modified Terms.

16. Miscellaneous

• Entire Agreement: These Terms, along with our Privacy Policy and Service Agreement, constitute the entire agreement between you and GrowthAgents
• Severability: If any provision is found unenforceable, remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute waiver of that right
• Assignment: You may not assign these Terms without our consent; we may assign freely
• Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control
